TBM Procurement Policy

TBM regards its suppliers as important and equal partners, and has established the "TBM Procurement Policy" (hereinafter, "this Policy") in order to build sustainable, transparent relationships based on mutual trust and cooperation, and to contribute together to the realization of a sustainable society.
TBM recognizes that environmental, social and corporate governance issues should be addressed throughout the supply chain, and will conduct procurement activities based on this policy. We also expect our suppliers to conduct procurement activities in accordance with this policy.

Application

This policy applies to all directors, executive officers and employees of TBM Co., Ltd. and its subsidiaries. The subsidiaries concerned shall establish or revise this policy or their own procurement policies at their own decision-making bodies and take appropriate measures to ensure that all directors, executive officers and employees understand the procurement policies.
This policy does not prevent each company from establishing its own policy that includes the contents of this policy. Each company's own policy may change the contents according to the laws and regulations and social customs of each country or region, or the characteristics of each business, or may add provisions not included in this policy. However, the provisions of this policy must not contradict or weaken the contents of the policies.
In addition, if each company establishes its own policy, it will clearly state that the policy is based on the "TBM Procurement Policy" or has been created with reference to it.

1. Supplier Selection

TBM selects suppliers based on a comprehensive evaluation not only of quality, price, delivery time and stability of supply, but also of technical capabilities, compliance, attitude towards the environment and respect for human rights.

2. Fair business activities

TBM provides all suppliers with opportunities for free competition through fair trade. In order to build and maintain healthy business relationships, we will not accept gifts or entertainment from suppliers that exceed the bounds of social common sense.

3. Compliance with laws and regulations and respect for international norms

In its procurement activities, TBM will comply with the laws and regulations applicable to each country and region and respect international norms. It will not have any relationship whatsoever with antisocial forces or those involved in illegal activities such as money laundering.

4. Consideration for the global environment

TBM will conduct procurement activities with consideration for the global environment and work to reduce the environmental impact of the entire supply chain.

5. Human Rights

TBM is committed to respecting human rights in its supply chain and aims to improve labor practices and ensure safety and health through its procurement activities.

6. Information Management

TBM will comply with the confidentiality obligation regarding confidential and personal information of suppliers obtained through procurement activities and will not disclose such information without following proper procedures. In addition, we will not conduct purchasing transactions that infringe on the intellectual property rights or other rights of third parties.

7. Ensuring quality and safety

TBM strives to improve the quality and safety of products and services together with its suppliers, aiming to provide valuable products and services.

The establishment of The Code has been resolved by the Board of Directors of TBM Co., Ltd.
